These Terms of Use (“Terms of Use” or “Terms”) govern your access to and use of the J24 website available at https://j24.store and any pages, features, content, applications, forms, programmes, services and other functionality made available through or in connection with the website (collectively, the “Website”).

This Website is owned and operated by Jumbotail Technologies Private Limited (“Jumbotail”, “we”, “us” or “our”), a company incorporated in India, having its registered office at Eastland Citadel, 6th Floor, No.102, Hosur Road, Madiwala Check Post, Bangalore 560029.

This document is an electronic record in terms of the Information Technology Act, 2000 (“IT Act”) and rules made thereunder as may be applicable, and the amended provisions pertaining to electronic records in various statutes as amended by the IT Act. This electronic record is generated by a computer system and does not require any physical or digital signatures. This document is published in accordance with the provisions of the IT Act and the rules made thereunder that require publishing the rules and regulations, privacy policy and terms of use of the Website.

For the purpose of these Terms of Use, wherever the context so requires, “you”, “your”, “user” or “User”, as applicable, shall mean any natural or legal person who accesses and/or uses the Website.

By accessing, browsing or using the Website, the user agrees that the user has read and understood, and agrees to be bound by these Terms of Use, our Privacy Policy and any applicable terms (together, this “Agreement”). It is important to read the entire Agreement carefully as some of the provisions affect your legal rights and obligations.

If you do not agree with these Terms, you must not access or use the Website. It is strongly recommended for you to return to this page periodically and review the most current version of the Terms in force. Jumbotail reserves the right at any time, at its sole discretion, to change or otherwise modify the Terms without prior notice, and your continued access or use of this Website signifies your assent/ratification of the updated or modified Terms. If you object to these Terms or any subsequent modifications to these Terms in any way, your only recourse is to immediately terminate use of the Website. We may require you to agree to additional terms (if any) between you and Jumbotail in connection with specific services that you may avail from us from time to time.

1. SCOPE AND PURPOSE OF THE WEBSITE

1.1. The Website is intended to provide information regarding J24 Stores, its model, and the business and operational resources, and other information that Jumbotail may make available from time to time.

1.2. The Website may also enable Users to express interest in establishing or operating a J24 Store, submit enquiries, register for programmes, identify or assess potential locations for establishing a J24 Store, request or receive location, catchment, market or other reports or assessments in relation to a proposed location, and otherwise interact with Jumbotail.

1.3. Information made available on the Website is subject to change and may be updated, modified, withdrawn or discontinued by Jumbotail at any time.

1.4. The Website and its Content are provided for general informational purposes only and do not constitute a binding offer, invitation or commitment by Jumbotail to enter into any business, commercial or other arrangement with any User. Any business or commercial arrangement with Jumbotail shall be subject to applicable eligibility and evaluation criteria, Jumbotail’s approval and the execution of separate definitive written agreements between the relevant parties.

1.5. Any information, estimate, illustration, figure or example made available on the Website is provided for illustrative and informational purposes only, is based on assumptions and inputs which may not reflect actual conditions, and does not constitute advice or any representation, assurance or guarantee of actual or future costs, results or performance.

2. ELIGIBILITY

2.1. You must be legally competent and otherwise permitted under applicable law to access and use the Website.

2.2. If you access or use the Website on behalf of a company, partnership, proprietorship, LLP or other entity, you represent and warrant that you have the authority to bind such entity to these Terms.

2.3. You shall ensure that all information submitted by you through the Website is accurate, complete, current and not misleading.

3. WEBSITE ACCESS AND PERMITTED USE

3.1. Subject to these Terms, Jumbotail grants you a limited, non-exclusive, non-transferable and revocable right to access and use the Website for lawful and legitimate purposes.

3.2. You shall not:

  • (a) use the Website for any unlawful, fraudulent, misleading or unauthorised purpose;
  • (b) reproduce, copy, modify, distribute, sell, lease, license, publish or commercially exploit any part of the Website or its Content (defined hereinafter), except as expressly permitted by Jumbotail;
  • (c) reverse engineer, decompile, disassemble or attempt to derive the source code or underlying structure of the Website or any software or technology made available through it;
  • (d) interfere with or attempt to compromise the security, integrity or functioning of the Website;
  • (e) introduce any virus, malware, malicious code or other harmful material;
  • (f) scrape, crawl, harvest, extract or systematically collect information from the Website without Jumbotail’s prior written consent;
  • (g) impersonate another person or misrepresent your identity, affiliation or relationship with Jumbotail;
  • (h) use the Website or its Content to create or operate a competing service or platform;
  • (i) use any automated means to access or interact with the Website except as expressly authorised by Jumbotail; or
  • (j) otherwise use the Website in a manner that may damage Jumbotail, its systems, its reputation or the rights of any third party.

“Content” for the purposes of these Terms shall mean all text, information, photographs, images, graphics, videos, audio, illustrations, logos, trademarks, trade names, designs, documents, data, software, and other material made available on or through the Website.

4. J24 STORE OPPORTUNITY

4.1. Information on the Website concerning J24 Stores, store ownership, store requirements, investments, costs, margins, operations, support, locations, returns, profitability or other commercial matters is provided for general informational purposes only.

4.2. Nothing on the Website constitutes an offer, invitation, solicitation, commitment or guarantee to appoint any person as a J24 Store Owner or to enter into any licence or other commercial arrangement with Jumbotail.

4.3. Any commercial relationship with Jumbotail shall be subject to Jumbotail’s eligibility requirements including but not limited to internal evaluation, location assessment, commercial terms, availability and execution of such definitive agreements and documentation as may be required by Jumbotail.

4.4. Jumbotail reserves the right, in its discretion and subject to applicable law and any binding agreement, to accept or reject any application or enquiry and to determine the locations, formats, commercial terms and other conditions on which a J24 Store may be established or operated.

4.5. No information contained on the Website shall be construed as a representation that any particular location, store or business model will achieve any particular level of sales, revenue, margin, profitability or return.

4.6. Jumbotail makes no warranty that: (a) Content is accurate, complete, current, or error-free; (b) Content is suitable for any specific user’s circumstances or decision-making; (c) Content reflects current market conditions, regulations, or business practices; and (d) information in testimonials or store owner stories accurately represents experiences of all potential store owners.

4.7. Testimonials and stories from existing Giants represent individual experiences only. They do not (a) constitute typical or average outcomes; (b) guarantee that other store operators will achieve similar results or experiences; (c) represent Jumbotail’s endorsement of any specific outcome or performance level; and (d) create any promise or expectation of similar results.

5. BUSINESS PERFORMANCE AND FINANCIAL INFORMATION

5.1. Any information concerning estimated store investment, operating costs, sales, margins, profitability, working capital, inventory, rent, financing, returns or other financial or operational matters is indicative only.

5.2. Actual business performance may differ materially from any information, illustration, estimate or example presented on the Website due to, among other things, location, catchment, store size, customer footfall, product mix, pricing, competition, demand, seasonality, shrinkage, rent, manpower, operating costs, financing costs, inventory, market conditions and other factors.

5.3. Past or illustrative performance, where provided, shall not be construed as indicative or predictive of future performance.

5.4. Users are solely responsible for assessing the commercial viability and suitability of establishing or operating a J24 Store for their particular circumstances.

5.5. Content on the Website is not a substitute for professional advice. Before making any business or financial decision, Users are free to consult qualified professionals.

5.6. The Website may include information about third-party products, services, brands, or market data. Jumbotail does not (a) endorse or guarantee the accuracy of third-party information; (b) assume liability for third-party claims, products, or services; (c) take responsibility for the completeness or current accuracy of third-party data.

5.7. The Website may display names, logos, trademarks, product images and other intellectual property belonging to third-party brands solely for identification and illustrative purposes in relation to products that may be available at J24 Stores. All such intellectual property remains the property of its respective owners. The display or reference to any third-party brand or product does not imply or constitute any endorsement, sponsorship, affiliation, partnership or association with Jumbotail or J24, unless expressly stated otherwise. Availability of any particular brand or product may vary by store and location, and no representation or guarantee is made regarding its availability at any particular J24 Store.

6. LOCATION, CATCHMENT AND MARKET INFORMATION

6.1. The Website may provide estimates, recommendations or information relating to potential store locations, catchment areas, customer demographics, market potential, competition, demand or other location-related factors.

6.2. Such information may be generated using available data, assumptions, algorithms, estimates or other sources and is intended only as an indicative aid.

6.3. Location or catchment information does not constitute a confirmation that a particular location is suitable, commercially viable or approved for a J24 Store.

6.4. Final location approval, where applicable, shall be determined by Jumbotail in accordance with its applicable processes and the relevant definitive agreement.

6.5. Users shall independently verify all material location, property, regulatory, commercial and operational considerations before committing to any premises or investment.

6.6. Each prospective Giant is solely responsible for evaluating whether opening a J24 Store is an appropriate business decision for their circumstances. Jumbotail is not responsible for the commercial viability or success of any store opened by any individual. No decision to establish, lease, invest in or otherwise participate in a J24 Store should be made solely or primarily on the basis of any information made available on the Website.

7. QUIZZES, REWARDS AND JUMBO CASH

7.1. The Website may from time to time provide quizzes, contests, promotional activities, rewards, Jumbo Cash or similar programmes.

7.2. Participation in such programmes may be subject to additional terms, eligibility criteria, limits, validity periods and conditions displayed at the time of participation.

7.3. Unless expressly stated otherwise, participation does not create any guaranteed entitlement to a reward.

7.4. Jumbotail reserves the right to verify eligibility, reject invalid or fraudulent participation, modify or withdraw any promotional activity and withhold or cancel rewards where permitted by applicable law.

7.5. Any reward, benefit or Jumbo Cash issued under a promotional activity shall be subject to the terms applicable to that activity and may be subject to expiry, usage restrictions or other conditions.

8. USER INFORMATION AND SUBMISSIONS

8.1. Where you submit your name, mobile number, email address, location, business information, proposed store information, documents, feedback, enquiries or other information through the Website (“User Information”), you represent that such information is accurate and that you are authorised to provide it.

8.2. You authorise Jumbotail to use User Information for purposes reasonably necessary to respond to your enquiry, evaluate your interest in J24, provide requested services or information, administer Website features and otherwise process such information in accordance with applicable law and Jumbotail’s Privacy Policy.

8.3. You shall not submit information that is unlawful, fraudulent, defamatory, infringing, malicious or otherwise objectionable.

8.4. You shall not submit personal information of another person unless you are legally authorised to do so.

9. COMMUNICATIONS

9.1. By submitting your contact details or otherwise requesting information through the Website, you agree to receive communications from Jumbotail relating to your enquiry, J24 Stores, products, services, programmes, training, events or other relevant matters, subject to applicable law and your preferences.

9.2. Communications may be made through telephone, SMS, email, WhatsApp or other communication channels.

9.3. You may opt out of promotional communications in accordance with applicable law or the mechanisms provided in the relevant communication.

10. PRIVACY

10.1. Jumbotail’s collection, use, storage and processing of personal data in connection with the Website shall be governed by the applicable Privacy Policy and applicable law.

10.2. By using the Website, you acknowledge that you have reviewed the applicable Privacy Policy.

10.3. The Website may use cookies, analytics technologies and similar technologies for functionality, security, analytics and other legitimate purposes, subject to applicable law and Jumbotail’s applicable policies.

11. INTELLECTUAL PROPERTY

11.1. All Content and intellectual property rights in or relating to the Website, including the J24 name and brand, logos, trademarks, service marks, designs, graphics, text, photographs, videos, software, compilations, layouts and other materials, are owned by or licensed to Jumbotail or its licensors.

11.2. Except as expressly permitted under these Terms or applicable law, no right, title or interest in any intellectual property is granted to you.

11.3. You shall not use the J24 or Jumbotail name, logo, trademarks or other brand elements without prior written permission.

11.4. You shall not remove, obscure or alter any copyright, trademark, proprietary or other notices appearing on the Website.

12. THIRD-PARTY CONTENT AND LINKS

12.1. The Website may contain links to or integrations with third-party services.

12.2. Such links or integrations are provided for convenience and do not constitute an endorsement, recommendation or guarantee by Jumbotail.

12.3. Jumbotail does not control and is not responsible for the availability, content, security, privacy practices, accuracy, products or services of third-party services.

12.4. Your use of any third-party service is subject to the terms and policies of the relevant third party.

13. WEBSITE AVAILABILITY AND CHANGES

13.1. Jumbotail may modify, suspend, restrict or discontinue the Website or any part thereof, including any feature, content or programme, at any time.

13.2. Jumbotail does not guarantee that the Website will always be available, uninterrupted, secure, error-free or free from viruses or other harmful components.

13.3. Jumbotail may update or correct Content, assumptions, calculations, prices, commercial information and other Website information from time to time without prior notice.

13.4. Jumbotail shall not be responsible for any loss or inconvenience resulting from the unavailability, modification or discontinuation of the Website or any feature thereof, subject to applicable law.

14. DISCLAIMERS

14.1. The Website and its Content are provided on an “as is” and “as available” basis, without warranty or representation of any kind, express or implied. Jumbotail disclaims all warranties including but not limited to non-infringement of third-party rights, fitness for a particular purpose, merchantability, accuracy, completeness and non-defectiveness.

14.2. Jumbotail makes no representation or warranty, express or implied, regarding the accuracy, completeness, reliability, suitability, availability or applicability of the Website or its Content for any particular purpose.

14.3. Without limiting the foregoing, Jumbotail does not warrant or guarantee:

  • (a) any particular sales, revenue, margin, profitability or return from a J24 Store;
  • (b) the commercial viability or suitability of any particular store location;
  • (c) the accuracy or completeness of any estimate, projection or business illustration;
  • (d) the availability of any particular product, service, financing facility, technology or commercial arrangement;
  • (e) that the Website or any Content will be current, uninterrupted or error-free; or
  • (f) that use of the Website will result in any particular commercial, financial or business outcome.

14.4. Any material downloaded or otherwise obtained through the Website is accessed at your own risk, and you will be solely responsible for any damage or loss of data that results from such download to your electronic device.

15. LIMITATION OF LIABILITY

15.1. To the maximum extent permitted by applicable law, Jumbotail and its directors, officers, employees, affiliates, representatives, licensors and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary or punitive loss or damage, or for any loss of profits, revenue, business opportunity, goodwill, anticipated savings or data arising out of or in connection with:

(a) your access to or use of, or inability to use, the Website;
(b) reliance on any Content, estimate, projection or other information made available through the Website;
(c) any decision to establish, operate, invest in, finance or otherwise participate in a J24 Store;
(d) any interruption, modification or discontinuation of the Website or any feature thereof; or
(e) any third-party service or third-party content.

    15.2. The aggregate liability of Jumbotail arising out of or in connection with the Website or these Terms shall not exceed INR 5,000/- (Indian Rupees Five Thousand only).

    15.3. The limitations in this Clause shall apply irrespective of the form of action, whether in contract, tort, negligence, statute or otherwise, to the extent permitted by applicable law.

    15.4. Nothing in this Clause shall exclude or limit liability to the extent such exclusion or limitation is prohibited under applicable law.

    16. INDEMNITY

    16.1. To the extent permitted by applicable law, you agree to indemnify, defend and hold harmless Jumbotail, its affiliates, directors, officers, employees, representatives, licensors and service providers from and against any claims, proceedings, losses, liabilities, damages, costs and expenses (including reasonable legal expenses) arising out of or relating to:

    (a) your use of the Website or your breach of these Terms;
    (b) your unlawful or unauthorised use of the Website;
    (c) any inaccurate, misleading or fraudulent information submitted by you;
    (d) your infringement or violation of any third-party rights; or
    (e) your violation of applicable law.

      17. USER FEEDBACK

      17.1. If you provide suggestions, ideas, feedback or recommendations relating to the Website, J24, its tools or services, you agree that Jumbotail may use such feedback without restriction and without any obligation to compensate you, provided that such use is subject to applicable law.

      18. CONFIDENTIAL INFORMATION

      18.1. You shall not attempt to obtain or use any non-public or confidential information relating to Jumbotail, its technology, systems, commercial arrangements, business plans, pricing, algorithms or operations through the Website or otherwise.

      18.2. Nothing in these Terms requires Jumbotail to disclose confidential or commercially sensitive information to any User.

      19. SUSPENSION AND TERMINATION

      19.1. Jumbotail may suspend or restrict your access to all or any part of the Website where it reasonably considers that you have breached these Terms, applicable law or the rights of Jumbotail or any third party.

      19.2. Jumbotail may terminate or discontinue any Website feature, programme, account or access without liability, subject to applicable law and any separate agreement governing the relevant service.

      19.3. Clauses relating to intellectual property, disclaimers, limitation of liability, indemnity, governing law and any provisions intended by their nature to survive shall survive termination.

      20. SEPARATE AGREEMENTS

      20.1. These Terms govern your use of the Website only.

      20.2. Any J24 Store commercial arrangement, training programme, advertising arrangement or other commercial relationship with Jumbotail may be governed by separate terms and definitive agreements.

      20.3. In the event of any conflict between these Terms and a duly executed definitive agreement between you and Jumbotail, the terms of such definitive agreement shall prevail solely with respect to the subject matter governed by that agreement.

      20.4. Nothing contained on the Website shall amend, vary, waive or otherwise modify any separate definitive agreement unless expressly agreed in writing by the authorised representatives of the relevant parties.

      21. PROHIBITED REPRESENTATIONS BY USERS

      21.1. No User may represent or hold themselves out as an authorised representative, employee, agent, partner or representative of Jumbotail or J24 unless expressly authorised in writing.

      21.2. Users shall not make any representation to third parties concerning J24’s profitability, returns, store approval, financing, commercial terms or other matters that is inconsistent with information formally communicated by Jumbotail.

      22. GOVERNING LAW AND JURISDICTION

      22.1. These Terms shall be governed by and construed in accordance with the laws of India. Any dispute, claim or controversy arising out of, or relating to the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of these Terms of Use, shall be determined by arbitration, before a sole arbitrator to be mutually appointed by the parties. Arbitration shall be conducted in accordance with the Arbitration and Conciliation Act, 1996 as amended from time to time. The seat of such arbitration shall be Bangalore. All proceedings of such arbitration, including, without limitation, any awards, shall be in the English language. The award shall be final and binding on the parties.

      22.2. Subject to applicable law, the courts at Bengaluru, Karnataka shall have exclusive jurisdiction over disputes arising out of or in connection with these Terms or your use of the Website.

      23. CHANGES TO THESE TERMS

      23.1. Jumbotail may modify these Terms from time to time to reflect changes in the Website, its business, applicable law or other circumstances.

      23.2. The updated Terms shall be posted on the Website with the revised effective date.

      23.3. Your continued use of the Website after the updated Terms become effective shall constitute your acceptance of the revised Terms, to the extent permitted by applicable law.

      24. SEVERABILITY

      24.1. If any provision of these Terms is determined by a court or competent authority to be invalid, unlawful or unenforceable, such provision shall be modified or severed to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

      25. WAIVER

      25.1. No failure or delay by Jumbotail in exercising any right or remedy under these Terms shall constitute a waiver of such right or remedy.

      26. ENTIRE AGREEMENT

      26.1. These Terms, together with any policies or additional terms expressly incorporated by reference, constitute the entire agreement between you and Jumbotail concerning your use of the Website, except to the extent that a separate definitive agreement governs a particular service, transaction or commercial relationship.
